Conditions of Use

AlbuDerm, Inc. / www.albuderm.com

01 About this website

These Conditions of Use govern access to and use of the AlbuDerm website located at www.albuderm.com and the information and materials made available through it. “AlbuDerm,” “we,” “us” and “our” refer to AlbuDerm, Inc., a Delaware corporation.

Please review these Conditions of Use carefully. Do not use the website if you do not agree to these Conditions of Use. These Conditions may change from time to time. Your continued use of our website after we post changes to these Conditions is deemed to accept those changes, so please check these Conditions periodically for updates.

The website introduces our albumin-based biomaterial platform, development programs and scientific team. It provides information for researchers, clinicians, potential collaborators, investor inquiries and other interested visitors. It does not offer products for purchase, provide medical services, claims, or advice, offer to sell securities or solicit offers to buy securities.

02 Research and regulatory status

AlbuDerm’s lead program is an albumin-based aesthetic filler candidate. Other areas of exploration include regenerative medicine, soft tissue engineering and drug delivery. All AlbuDerm programs are at the preclinical or conceptual stage.

No AlbuDerm product has been approved or cleared by the U.S. Food and Drug Administration or approved by another regulatory authority for clinical use. Descriptions of possible applications, material properties and anticipated benefits express research objectives. They do not claim or establish safety, effectiveness, clinical suitability or commercial availability.

References to albumin’s use in other medical settings do not establish that an AlbuDerm product is safe or effective. Any future clinical investigation or commercialization depends on further research and the applicable regulatory requirements. Scientific illustrations and animations explain concepts; they do not demonstrate clinical results.

03 Medical information

The website is not a source of medical claims, advice, diagnosis, treatment recommendations or instructions for administering a product. A discussion with our team does not establish a physician–patient relationship.

Consult a qualified healthcare professional about a medical condition or treatment decision. Do not use this website to obtain emergency assistance or delay seeking care because of information you have read here.

04 Forward looking statements

The website is provided for general informational purposes only. Information is current only as of the date presented and may change without notice. AlbuDerm makes no representation or warranty as to any information completeness or accuracy. Statements concerning AlbuDerm research, development activities, regulatory strategy, product candidates, anticipated product characteristics or performance, commercialization plans, or other future events are forward-looking statements subject to substantial risks and uncertainties. Actual results, developments, and timing may differ materially due to scientific, technical, preclinical, clinical, regulatory, manufacturing, intellectual-property, licensing, financing, commercial, and other risks. AlbuDerm undertakes no obligation to update these statements except as required by law.

05 Investment and business discussions

Website information is not investment, financial, tax or legal advice. It is not an offer to sell securities or a solicitation of an offer to buy securities. Any securities offering would take place through appropriate offering materials and in accordance with applicable U.S. federal and state securities laws.

Contacting AlbuDerm does not create an investment commitment, partnership, agency relationship, technology license, supply agreement or clinical arrangement. Research collaborations, material transfers and other business arrangements require separate agreements with authorized representatives. Those agreements govern their own subject matter.

Visitors considering a business or investment relationship should conduct their own due diligence and obtain advice appropriate to their circumstances.

06 Permitted use and intellectual property

You must be at least eighteen years of age and legally capable of entering a binding contract to use the website. If you use the website on behalf of an entity, you represent that you have authority to bind that entity and that you, as used in these Conditions, includes that entity.

The website’s text, graphics, photographs, videos, diagrams, software, trademarks and branding, domain names, and other intellectual property belong to AlbuDerm or the relevant rights holders and are protected by applicable intellectual property laws.

You may access the website and retain reasonable copies for personal reference or internal business evaluation, subject to any stated third-party restrictions. Keep copyright and other ownership notices intact. Do not alter material and present it as AlbuDerm’s original work, or use our name or logo to imply sponsorship, endorsement or affiliation.

Other reproduction, redistribution or commercial use requires permission from the relevant rights holder unless permitted by law. Website access does not grant a license to our patents, research, proprietary technology or trademarks beyond the limited use described above.

07 Website security and acceptable use

You must not misuse the website. Do not attempt unauthorized access to systems or data, bypass access controls, introduce malicious code, impersonate another person or interfere with the website’s operation. Do not use contact details or forms to send spam, threats, unlawful material or misleading communications.

Automated access must not bypass security measures, overload the website or infringe anyone’s rights. Ordinary indexing by public search engines is permitted subject to published crawler instructions and reasonable technical limits. We may restrict access where reasonably necessary to protect the website or address misuse.

08 Inquiries and confidential information

Provide accurate contact information and send only material you are authorized to share. The general contact form is intended for initial inquiries. Do not submit patient records, sensitive health information, unpublished inventions, confidential research or proprietary business information through it.

If a discussion requires confidential information, contact us first to arrange an appropriate channel and, where necessary, a nondisclosure agreement. An unsolicited inquiry does not by itself create a confidentiality obligation. Existing agreements and confidentiality or privacy duties imposed by law remain unaffected.

We claim no ownership of information or material you submit. However, you grant us an unlimited, non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual, irrevocable license to use information and material that is captured or otherwise provided by you through the website, in addition to, and without limiting, our rights of fair use and other rights we may have under applicable law. Our license to use information and material you submit includes that we may reproduce, distribute, display, transmit, promote, publish, and otherwise digitally make it available to our service providers or other third parties for the proper or intended function of the website. We will only utilize and share such data in compliance with applicable law and our Privacy Statement.

Notwithstanding the foregoing, you agree that you have no ownership or interest in any suggestions, comments, ideas, improvements, or other feedback or materials you provide to us related to the website, products or other activities (“Feedback”). 09 Privacy and communications

Your use of the website is subject to our Privacy Statement, which explains how we collect, use, and disclose information and may be updated from time to time. Please review our Privacy Statement prior to utilizing the website.

The website may use cookies and similar technologies for functionality, analytics, and personalization as described in the Privacy Statement. Where required by law, we will present a cookie banner and/or consent management tool that allows you to provide, withdraw, or modify consent for non‑essential cookies and tracking technologies. Your cookie preferences selected via the banner or consent tool will be honored on the website, subject to technical limitations described in our Privacy Statement

Contact us at info@albuderm.com with questions about information you have provided. Please do not include sensitive health information in your request. By submitting contacting us, you consent to receive communications from us, including service and transactional messages and, where permitted, promotional messages consistent with any preferences you select. If you transact electronically, you consent to use of electronic records and signatures as permitted by law.

10 External websites and references

Links to publications, institutions and other websites are provided for reference. They do not imply endorsement of AlbuDerm by an author, institution or regulator, or our endorsement of every statement on an external website.

External websites have their own operators, terms and privacy practices. We do not control their content, security or availability. A publication discussing a material or scientific approach is not proof that an AlbuDerm product has achieved the same results.

11 Website availability and warranties

We aim to keep the website accurate and useful, but information may contain errors or become outdated as our research and activities progress. Content and website features may change, be suspended or be withdrawn. Please contact us if you need to confirm information before relying on it.

To the extent permitted by applicable law, the website and its materials are provided “as is” and “as available,” without warranties express or implied. We disclaim all implied warranties including warranties of merchantability, fitness for a particular purpose and noninfringement. We do not guarantee uninterrupted, error-free or secure access. This provision does not exclude a warranty or obligation that cannot lawfully be excluded.

12 Limitations of liability

To the extent permitted by applicable law, AlbuDerm is not liable for indirect, incidental, consequential, special or punitive damages arising from use of, or inability to access, this informational website, including resulting loss of profits, business opportunities or data, and Albuderm’s aggregate liability with respect to any claim and all related claims is limited at $100.

This limitation does not apply to fraud, willful misconduct, gross negligence or any liability that cannot lawfully be limited. It does not waive mandatory consumer protections or statutory remedies that cannot lawfully be limited. Where applicable law does not allow an exclusion or limitation, it applies only to the extent that law permits.

This section concerns the website. It does not replace obligations under a separate agreement.

13 Indemnification

You agree to indemnify and defend the Company and its officers, directors, members, managers, representatives, employees, affiliates, agents, and partners from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from:

  • Your use or misuse of the website;
  • Your violation of these Conditions of Use; or
  • Your violation of any law or third‑party right.

13 Applicable law and disputes

These Conditions of Use are subject to applicable U.S. federal and the law of the State of Delaware. All disputes will be resolved exclusively in the courts located in Lansing, Michigan, and the parties consent to personal jurisdiction there.

Please contact info@albuderm.com if you have a concern so that we can try to resolve it. Contacting us is not a condition of exercising a legal right and does not extend a legal filing deadline. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

14 Digital Millennium Copyright Act Notice

We respect the intellectual property rights of others and expect users of the website to do the same. If you believe that content available on or through the website infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our designated copyright agent (the “DMCA Agent”) with a written notice that includes:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
  • Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an email address;
  • A statement that the complaining party has a good‑faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Alternatively, if you believe that your content was removed or disabled by mistake or misidentification, you may send a counter‑notification to the DMCA Agent that includes:

  • Your physical or electronic signature;
  • Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;
  • A statement under penalty of perjury that you have a good‑faith belief that the material was removed or disabled as a result of mistake or misidentification;
  • Your name, address, telephone number, and email address; and
  • A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, for any judicial district in which the service provider may be found), and that you will accept service of process from the person who provided the notification of alleged infringement or an agent of such person.
